Amendments to the Terms

The Platform reserves the right to modify these Terms from time to time. Amendments will be posted on the Platform and will take effect immediately upon posting. Haoyye will not send a separate notice of such amendments. If you disagree with any amendments, you should stop using the Services immediately. Continuing to use the Services after amendments have been posted will be deemed acceptance of the revised Terms. Any changes to these Terms can only be made in writing by an authorized officer of Haoyye.

By registering as a member, accessing, browsing, or using the Services on the Platform, you confirm that you have read, understood, and accepted all the terms and conditions of this Agreement, and you agree to comply with them. This Agreement becomes effective immediately upon your acceptance.

1. Member Registration

1.1 Eligibility and Acceptance
By completing the registration process on the Platform, you become a Member ("Member"). You confirm that you are either a natural person with full legal capacity under applicable civil laws, or a legal entity duly established and lawfully existing. If you do not meet this qualification, you should refrain from using the Services. Any consequences arising from the use of the Services by an unqualified individual will be solely your responsibility, and you may be held liable for any actions taken. Haoyye reserves the right to cancel (or freeze) your account and seek damages if necessary. If you are a business or legal entity, you must designate a person to operate on your behalf, assuming full responsibility for all actions taken on the Platform.

1.2 Registration Information
When registering or activating your account, you are required to provide accurate and up-to-date information. It is your responsibility to maintain this information and keep it current. You agree to indemnify Haoyye for any loss or damage resulting from inaccurate, outdated, or incomplete information you provide.

1.3 Account Security
You are responsible for maintaining the confidentiality of your account name, nickname, and password, and you are solely liable for all activities associated with your account. You may not lease, borrow, assign, or transfer your account credentials to any third party without Haoyye’s consent.

1.4 Unauthorized Use of Account
In the event of unauthorized use of your account, you acknowledge that it may take time for Haoyye to respond to your request. Haoyye will not be held liable for any loss or damages incurred before actions are taken to address the issue.

2. Platform Services

Through the Platform, Haoyye and its affiliates provide a variety of Services, including but not limited to the ability to search for products, make online transactions, post comments and reviews, attend events, and access other information and technical services. Haoyye reserves the right to restrict access to certain Services for specific members, at its discretion.

While the Platform serves as a marketplace, Haoyye is not involved in the legal relationships between Members and does not guarantee that the Services or the Platform will be free from interruptions, errors, or downtime. You acknowledge and agree that you will bear any loss or consequences resulting from service interruptions, technical issues, or data breaches.

By accepting this Agreement, you agree to receive system messages, transaction updates, content recommendations, and other relevant notifications. You may cancel such subscriptions at any time.

3. Use of the Platform

3.1 License
Subject to these Terms, Haoyye grants you a limited, revocable, non-transferable, non-exclusive license to access and use the Platform solely for the purpose of shopping for lawful products or services offered on the Platform. Any other use of the Platform is prohibited unless expressly permitted by Haoyye in writing. Any breach of this Agreement will result in the immediate revocation of the license without further notice.

3.2 Prohibited Conduct
You may not copy, reproduce, sell, distribute, lease, modify, transmit, reverse-engineer, disassemble, decompile, or exploit the Platform in any manner, unless specifically authorized by Haoyye in writing.

3.3 Your Content
You are solely responsible for ensuring that any information, comments, or reviews you post on the Platform do not violate any applicable laws, infringe upon the intellectual property rights of third parties, or contain harmful, offensive, or illegal content.

4. Transactions on the Platform

4.1 Payment and Fees
All transactions, including payments, returns, warranties, shipping, taxes, and other fees, are handled through the Platform. The prices displayed on the Platform are in U.S. Dollars (USD). You are responsible for providing accurate information related to the transaction. Haoyye reserves the right to suspend or terminate any account if required information is not provided.

4.2 Transaction Materials
You agree to provide all necessary materials and information requested by Haoyye to process your transactions. Failure to provide such materials may result in the suspension of your account.

5. Privacy Policy

5.1 Collection and Use of Personal Information
Haoyye is committed to protecting your privacy. Personal information is collected and used in accordance with the Haoyye Privacy Policy, which forms part of this Agreement. By using the Platform, you consent to the collection and use of your information as outlined in the Privacy Policy.

6. Intellectual Property

6.1 Ownership of Intellectual Property
All intellectual property rights related to the Platform, including but not limited to trademarks, logos, content, software, and data, are owned by Haoyye or its affiliates. You may not use these rights without prior written consent from Haoyye.

6.2 Prohibited Use of Intellectual Property
You may not use the Platform’s trademarks, logos, or other intellectual property for any commercial purpose without prior written consent from Haoyye.

7. Limitation of Liability

7.1 No Warranty
Haoyye provides the Platform and Services "as-is," without warranties of any kind, either express or implied. Haoyye does not guarantee that the Platform will be free from interruptions, errors, or viruses, and you acknowledge that you use the Platform at your own risk.

7.2 Liability Cap
In no event shall Haoyye’s total liability to you for any damages exceed the amount you have paid for the Services during the month immediately preceding the event giving rise to the claim.

8. Indemnity

You agree to indemnify and hold harmless Haoyye, its subsidiaries, partners, affiliates, employees, and agents from any claims, damages, or expenses arising from your breach of this Agreement or violation of applicable laws. This includes, but is not limited to, legal costs and expenses resulting from the infringement of third-party rights.

9. Termination

9.1 Account Termination by Haoyye
Haoyye may suspend or terminate your account and access to the Services at its discretion, especially if you violate the Terms. If you wish to terminate your account, you may request cancellation, and upon approval, your account will be terminated, and this Agreement will be considered ended.

9.2 Consequences of Termination
Upon termination, Haoyye has no obligation to disclose any information from your account to you or forward any communications to you or any third party. Haoyye reserves the right to retain your data and initiate legal claims if necessary.

10. Governing Law and Dispute Resolution

This Agreement is governed by the laws of Hong Kong. Any disputes that arise will be resolved through arbitration under the US Law of Justice, following the US Administered Arbitration Rules. The arbitration will take place in Hong Kong and be conducted in English.

11. Force Majeure

Haoyye shall not be liable for any delay or failure in performance due to events beyond its reasonable control, including but not limited to natural disasters, war, government actions, strikes, or system failures.

12. Fees and Expenses

Haoyye reserves the right to charge fees for Services after providing notice. You agree to pay any taxes, fees, and additional costs related to your use of the Platform, including but not limited to hardware, software, telecommunications, and network expenses.
